Terms of Service

1. Agreement & Scope

These Terms of Service ("Terms") govern your use of TechRoom's website, services and any products provided by TechRoom ("Services"). By engaging with TechRoom or using our Services you agree to these Terms. For B2B customers, the terms of any separate written agreement between the parties will control to the extent they conflict with these Terms.

3. Eligibility & Account

Clients must be legally capable of entering into contracts. Account provisioning, passwords, and access credentials are the Client's responsibility. Notify TechRoom immediately if access credentials are compromised.

4. Services, Statements of Work & Changes

Services are described in Statements of Work (SOW) or proposals. Any change in scope will be documented and may affect fees and timelines. TechRoom will exercise reasonable skill and care in delivering Services.

5. Fees, Invoicing & Payment

Fees are as set out in the applicable SOW or order. Invoices are due within the payment term stated (typically 14 or 30 days). Late payments may incur interest and suspension of Services. TechRoom uses third-party payment processors; TechRoom does not store full payment card data.

6. Taxes

Clients are responsible for all taxes, duties or similar charges, except taxes based on TechRoom's net income. Where applicable, Client must provide valid tax exemption documentation.

7. Intellectual Property

Unless otherwise agreed, TechRoom retains ownership of pre-existing IP and tools. Upon full payment, TechRoom grants the Client a non-exclusive, non-transferable license to use custom deliverables for the purposes described in the SOW. Source code escrow can be arranged by agreement.

8. Client Materials & License

Client grants TechRoom a limited license to use Client-provided materials needed to deliver Services. Client represents they have necessary rights to provide such materials.

9. Confidentiality

Each party shall protect Confidential Information with at least the same degree of care it uses for its own confidential data. Confidential Information may be disclosed when required by law, provided the disclosing party gives prompt notice where lawful to do so.

10. Data Protection & Privacy

TechRoom processes personal data in accordance with the Privacy Policy available at /privacy-policy. For EU customers, TechRoom complies with GDPR obligations and uses appropriate safeguards (e.g., SCCs) for international transfers. For California residents, TechRoom complies with CCPA requirements. The Client is the Controller of Client Data and is responsible for lawful instructions and obtaining consents where required.

11. Warranties & Disclaimers

TechRoom warrants that Services will be provided with reasonable skill and care. EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED "AS IS" AND TECHROOM DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHROOM'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE CLIENT TO TECHROOM UNDER THE APPLICABLE SOW IN THE PRIOR 12 MONTHS. IN NO EVENT WILL TECHROOM BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL OR PUNITIVE DAMAGES.

13. Indemnification

The Client will indemnify TechRoom against third-party claims arising from Client Materials, Client's violation of law, or Client's misuse of Services. TechRoom will indemnify the Client for claims that Services (excluding Client Materials) infringe third-party IP, subject to conditions and notice requirements.

14. Term, Suspension & Termination

Either party may terminate for material breach if the breach is not cured within 30 days of written notice. TechRoom may suspend Services for non-payment. Upon termination, Client will pay outstanding fees and TechRoom will return Client Materials as agreed.

15. Export & Compliance

Client agrees to comply with applicable export control and sanctions laws. Client will not use Services in violation of applicable laws, including anti-corruption and sanctions regulations.

16. Governing Law & Dispute Resolution

For B2B customers: If the Client is located in the European Union, these Terms will be governed by and construed in accordance with the laws of the Client's EU Member State, and mandatory provisions of EU law (including GDPR) apply. If the Client is located in the United States, these Terms will be governed by the laws of the State of California without regard to conflict of law rules. Disputes will first be attempted to be resolved in good faith; if unresolved, disputes may be routed to arbitration or the courts as agreed in the SOW.

17. Changes to Terms

TechRoom may update these Terms. Material changes will be communicated; continued use after updates constitutes acceptance.
